General terms applicable to the AVA-Stabilis Kft. website and services

1. Introduction
These Terms of Use (the “Terms”) apply to the website, informational and presentation materials, contact interfaces, downloadable documents and services of AVA-Stabilis Kft. (the “Service Provider”).
The website serves to present the Service Provider's operational diagnostic and decision-support activity, and to facilitate contact and professional discussion. By using the website, the visitor acknowledges and accepts these Terms.

3. Acceptance of Terms
Using the website, submitting a contact form, requesting a consultation, requesting an offer, or initiating a pilot discussion constitutes acceptance of these Terms by the visitor or client.
The website is available solely as a web interface; its use does not require a mobile application, app-store download or registered user account.
4. Description of services
The Service Provider offers operational diagnostic, audit and decision-support services for complex organizations (companies, institutions, public-sector and other organizations). The typical elements of the service include:
- read-only operational diagnostics;
- organizational and digital operational audit;
- analysis of process, capacity, resource and production relationships;
- interpretation of existing ERP, BI, PowerBI, monitoring, workflow, ticketing, controlling and other operational data;
- identification of hidden losses, bottlenecks, rework, delays and capacity loss;
- creation of an interpreted operational map;
- executive decision-support;
- recommended attention and intervention points;
- controlled, read-only pilot assessments.
AVA-Stabilis operates in a read-only diagnostic model: the purpose of the service is to reveal and interpret operational relationships, not to automatically modify or control the client's systems.
5. Consultation, proposals and pilots
- Contact through the website, form submission or an offer request does not automatically create a contract and does not create a performance obligation on the part of the Service Provider.
- The details of a pilot or of the service may be governed by a separate proposal, contract, non-disclosure agreement (NDA), and — where applicable — a separate data-processing or data-management agreement.
- Any 4–6 week pilot timeframe indicated on the website is only a typical, indicative duration and is not guaranteed in every case.
- The exact data framework, scope, deadlines, fees and deliverables are subject to a separate agreement.
6. Read-only model and client control
- The Service Provider does not take over operations or operational control over the client's systems.
- The Service Provider does not modify live (production) systems.
- The Service Provider does not write back into client systems unless the parties separately agree in writing.
- Analyses and recommendations are decision-support outputs; decisions and implementation remain with the client.
- The Service Provider is not liable for changes implemented independently by the client, unless such implementation is based on a separate written engagement or actual involvement of the Service Provider.
7. Demonstration and modeled materials
Some examples shown on the website, in presentations or in industry materials may be demonstration-oriented or partly modeled. They illustrate the methodology and the type of output AVA-Stabilis can produce; they are not presented as outcomes of completed client engagements unless expressly marked as such.
8. Fees and payment
- Fees for the services are based on individual proposals, orders or contracts.
- Prices and payment terms are agreed separately between the parties.
- The website currently does not provide an online payment option and does not offer card or other online payment services.
- If the Service Provider introduces an online payment option in the future, this section will be updated accordingly.
9. Intellectual property
The AVA-Stabilis website, methodology, visual materials, texts, diagrams, analytical logic, documentation, pilot framework and research materials are protected by intellectual property rights.
- Unauthorized copying, distribution, reverse engineering or commercial use of the Service Provider's materials is prohibited.
- Data provided by the client remains the property of the client.
- The methodological, software, analytical and documentation materials of the Service Provider remain the intellectual property of AVA-Stabilis Kft. or its licensors.
10. Limitation of liability
- Information on the website is provided for general information only.
- The website content does not constitute specific legal, financial, technical or operational advice.
- Service outputs are decision-support materials.
- Clients remain responsible for their own decisions and the measures they implement.
- AVA-Stabilis does not guarantee specific financial savings, profit increase or performance improvement.
- The purpose of the service is to reveal and interpret hidden losses, process problems and operational relationships.

The Service Provider's services are primarily intended for business (B2B) and institutional clients. In the exceptional case of a consumer dispute, the consumer may also turn to the competent conciliation body (in line with the Service Provider's registered office: Hajdú-Bihar County Conciliation Body).
12. Governing law and disputes
These Terms and the Service Provider's services are governed by Hungarian law. The parties primarily seek to resolve any disputes amicably, through negotiation. Failing that, the competent Hungarian court has jurisdiction to decide the dispute, unless otherwise agreed.
13. Amendments
The Service Provider is entitled to amend these Terms unilaterally. The version in force at any given time is available on the Service Provider's website and takes effect upon publication.
